Terms of Service

Please read these terms carefully before using VS.AM services. By using our platform, you agree to be bound by these terms.

Introduction and Acceptance

Welcome to VS.AM, operated by Virtual Solutions ("Company," "we," "us," or "our"), located at Mush 10/11, Yerevan, Armenia. These Terms of Service ("Terms") govern your access to and use of our website at vs.am, our application at app.vs.am, and all related services, APIs, and products (collectively, the "Services").

By creating an account, accessing, or using any part of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Eligibility

You must be at least 18 years of age to create an account and use our Services. By using the Services, you represent that you meet this requirement and that your use complies with all applicable laws and regulations in your jurisdiction.

Account Registration

You may register for an account using Google Single Sign-On (SSO) or another permitted authentication method. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are solely responsible for all activity that occurs under your account.

You must notify us immediately at info@vs.am if you suspect any unauthorized access to your account. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Description of Services

VS.AM provides AI-powered speech technology products including, but not limited to: Armenian Speech-to-Text (STT), Armenian Text-to-Speech (TTS), Voice Cloning, Custom Voice Training, Meeting Assistant, Video Subtitle Generation, Image/Document OCR, AI Translator, News-to-Audio conversion, and the Armenian AI Journalist. Services are accessible through our web application and via API. We reserve the right to modify, discontinue, or add new products at any time.

Credits, Payments, and Billing

5.1 Credit System. Access to our Services is governed by a credit-based system. Credits are the currency used across all VS.AM products. Different services consume different amounts of credits based on usage volume and type (e.g., minutes of audio processed, characters synthesized, or images analyzed).

5.2 Purchasing Credits. Users may purchase credits individually (one-time top-up) or as part of a monthly subscription plan. Credits are added to your account balance upon confirmed payment and are available for immediate use across any VS.AM product.

5.3 Free Plan. New users receive a one-time bonus of 300 credits upon registration. No credit card is required for the Free plan. Free credits do not roll over and expire if unused within 12 months of account registration.

5.4 Paid Plans. We offer subscription plans (Standard at 5,000 AMD/month for 600 credits and Pro at 10,000 AMD/month for 1,400 credits) as well as pay-as-you-go credit packs. Plans and pricing are subject to change with 30 days' prior notice.

5.5 Credit Expiry and Rollover. Credits from monthly subscriptions reset at the start of each billing cycle unless on the Pro plan (optional rollover). One-time credit pack purchases do not expire for 12 months from the purchase date.

5.6 Payment Methods. We accept major international credit and debit cards, and Armenian Dram (AMD) payments through local banking channels. Payments are processed securely by our third-party payment processor. We do not store your full card details on our servers.

5.7 Billing Cycle. Subscription plans are billed monthly on the date of your initial subscription. Subscriptions automatically renew unless cancelled before the renewal date.

5.8 Taxes. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable VAT, sales tax, or other taxes based on your location.

Refund and Cancellation Policy

6.1 General Policy. All credit purchases and subscription fees are non-refundable once processed, except as expressly stated in this section or as required by applicable law. Because credits are a digital product consumed immediately upon use, we cannot offer refunds for credits that have already been used.

6.2 Unused Credits – Refund Window. If you purchase a credit pack or subscription and have not used any of the credits, you may request a full refund within 7 days of the original purchase date by contacting us at info@vs.am. Refund requests submitted after 7 days will not be eligible.

6.3 Partial Refunds. If you have used some but not all credits and request a refund within the 7-day window, we will calculate a pro-rated refund based on the unused portion, minus any processing fees charged by our payment provider.

6.4 Technical Errors and Service Failures. If credits are deducted from your account due to a verified technical error or service failure on our part, we will restore the affected credits or issue a refund for the equivalent amount. Please report such issues within 14 days to info@vs.am with details of the affected transaction.

6.5 Subscription Cancellation. You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. You retain access to paid features and remaining credits until the period ends. No partial refunds are issued for unused days in the current billing cycle after cancellation.

6.6 Refund Process. Approved refunds will be returned to the original payment method within 5–10 business days. We will notify you by email once a refund has been issued.

6.7 Abuse and Fraud. We reserve the right to deny refund requests if we detect patterns of abuse, such as repeated purchase-and-refund cycles. Accounts found to be abusing refund policies may be suspended.

6.8 Statutory Rights. Nothing in this refund policy limits your statutory rights under applicable Armenian consumer protection law or other applicable legislation in your jurisdiction.

6.9 No Obligation to Refund. VS.AM has no obligation to provide a refund or credit for reasons including but not limited to, if you:

have changed your mind about a purchased product.
bought a product by mistake.
do not have sufficient expertise to use the product.
do not have any need to use the product.
have engaged in activities that VS.AM deems suspicious or fraudulent.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

Upload or process any content that is illegal, defamatory, obscene, or infringes upon third-party intellectual property rights

Use the Services to harass, threaten, or harm any individual or group

Attempt to reverse engineer, decompile, or extract our AI models or underlying technology

Use the Services to generate spam, deepfakes for deceptive purposes, or content that misrepresents identity

Circumvent or attempt to bypass any usage limits, authentication mechanisms, or security controls

Resell, sublicense, or redistribute the Services without our prior written consent

User Content

8.1 Your Content. You retain ownership of all audio files, text, images, and other content ("User Content") you submit to our Services for processing.

8.2 License to Process. By submitting User Content, you grant VS.AM a limited, non-exclusive license to process and analyze that content solely for delivering the requested Services. We do not claim ownership of your content.

8.3 No Training Without Permission. We will not use your User Content to train, fine-tune, or improve our AI models without your explicit, separate written consent.

8.4 Your Responsibility. You are solely responsible for the legality, accuracy, and appropriateness of User Content you submit and that you have all necessary rights to submit such content.

Voice Cloning and Custom Voices

You must have the legal right to clone or train a voice model based on any voice data you submit. You must obtain explicit written consent from any person whose voice you submit. You must not use cloned voices for fraud, impersonation, or deceptive purposes. VS.AM is not liable for any misuse of voice models you create.

Intellectual Property

All software, AI models, interfaces, logos, trademarks, and materials provided by VS.AM are the exclusive property of Virtual Solutions and protected by Armenian and international intellectual property laws. These Terms do not grant you any ownership rights in our Services or technology. The VS.AM name and logo may not be used without our prior written permission.

API Access

If you access our Services via API, additional API terms may apply. API keys are personal and must not be shared or published publicly. We reserve the right to throttle, suspend, or revoke API access for violation of these Terms or excessive usage that strains our infrastructure.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Services will be error-free, uninterrupted, or fully accurate. While we target 99.9% uptime and 96%+ transcription accuracy, these are targets and not guarantees. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Virtual Solutions and its founders, employees, and advisors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business. Our total liability to you for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Virtual Solutions, its founders, employees, advisors, and partners from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms. You may terminate your account at any time by contacting us at info@vs.am. Upon termination, your right to use the Services ceases immediately. Any unused credits are forfeited upon termination unless otherwise required by applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Armenia. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Yerevan, Armenia.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
